About this job
Anduril Industries is a defense technology company with a mission to transform U.S. and allied military capabilities with advanced technology. By bringing the expertise, technology, and business model of the 21st century’s most innovative companies to the defense industry, Anduril is changing how military systems are designed, built and sold. Anduril’s family of systems is powered by Lattice OS, an AI-powered operating system that turns thousands of data streams into a realtime, 3D command and control center. As the world enters an era of strategic competition, Anduril is committed to bringing cutting-edge autonomy, AI, computer vision, sensor fusion, and networking technology to the military in months, not years.
ABOUT THE JOB
We are looking for a Legal Counsel to join our rapidly growing team on-site in Washington, DC, Ashville, OH, or Lexington, MA to support Anduril's Voyager, Armory, and Commercial Contracting initiatives. This role will focus on the full spectrum of commercial agreements with domestic and international customers and Anduril's expanding portfolio of commercial products.
This includes: providing legal oversight to commercial proposals and transactions, advising on intellectual property licensing and commercial terms, structuring deals with commercial entities, negotiating software and hardware licensing agreements, and crafting legal and business strategies for Anduril's commercial growth. This role will partner closely with commercial customers, outside counsel, and business partners across the organization to support business development and commercial operations.
Anduril is a fast-growing company at the early stages of growth. Consistent with this fast growth, members of Anduril's Legal Team must be resourceful, creative, and eager to take ownership of complex matters. The Legal Counsel role will require creativity and resourcefulness to navigate complex commercial agreements with a singular focus on helping Anduril deploy its path-making technology into operational settings for commercial customers. In addition to helping capture and execute new commercial deals, you will work on all other aspects of Anduril's business, from negotiating license and services agreements, to commercial disputes and handling intellectual property. Experience across all of these areas is not expected, but a willingness to learn and adapt is.
Our team is passionate about the law and policy of technology and you should have an independent interest in the key issues in this field. Anduril fosters a diverse, collaborative culture with tremendous opportunities for ownership and professional growth.
WHAT YOU'LL DO
- Be a key member of Anduril's small, dynamic Legal Team.
- Drive commercial customer growth by executing new commercial contracts and growing existing ones. Use your expertise in commercial contracting and technology licensing to help the Business Development, Sales, and Product Teams efficiently capture new customers, grow existing accounts, and set up opportunities for expanded partnerships. Assist in the strategy development for new commercial business.
- Manage relationships with commercial customers and procurement representatives. High-trust professional relationships with commercial buyers are critical to Anduril's continued success, and you will be called upon to develop and foster these relationships throughout your tenure.
- Provide legal counsel for the commercial sales lifecycle for Voyager and Armory products. Oversee and evaluate major commercial proposals, monitor large commercial contracts, lead or assist in key negotiations, resolve performance issues, identify risks and mitigations, and ensure commercial contracting best practices.
- Support Anduril's Armory platform—a portfolio of Commercial capabilities available to commercial entities and select customers. Structure and negotiate agreements that enable rapid ordering and deployment of Anduril products through streamlined commercial terms.
- Work on all legal aspects of Anduril's business, from negotiating software and hardware license agreements, master services agreements, and distribution agreements, to commercial disputes and litigation, and to handling deal-related intellectual property. You will represent the legal team in relationships with outside counsel, vendors, engineers, executives, customers, and regulators.
REQUIRED QUALIFICATIONS
- 4+ years of work on commercial contracting matters, preferably with a law firm or in-house at a technology company, defense contractor, or international sales organization (more senior lawyers are also encouraged to apply, the position may be adjusted based on experience)
- A solid understanding of commercial contracting processes; particularly software licensing, hardware sales agreements, COTS product sales, and intellectual property licensing terms
- The judgment and initiative required to own multiple projects from end-to-end, whether guiding the Business Development Team through the lifecycle of a commercial deal or handling unexpected legal issues that may arise in defense or start-up companies
- Strong communication, writing, and interpersonal skills
- Quick learner and independent performer, able to contribute to the broader start-up legal function, including topics that may be completely new to you: everything from IP and litigation to financing, securities, compliance, and employment law, depending on the needs of the day
- Licensed to practice law in applicable location
- Must be a U.S. Person due to required access to U.S. export controlled information or facilities
PREFERRED QUALIFICATIONS
- Pre-law school professional experience
- Combination of law-firm and in-house or commercial contracting experience
- Experience working with engineering, software, hardware, or defense technology products
- Experience negotiating complex software licensing agreements, SaaS agreements, or technology platform agreements
- An interest in the law and policy of technology and sales with opinions about what is right or wrong in the field and how to fix it
- The ability and grit to operate independently within a rapidly evolving company
- Currently possesses and is able to maintain an active U.S. Secret security clearance
- Experience with commercial distribution models, channel partnerships, or e-commerce platforms
