About this job
Sr. Product & Alliances Counsel
United States - Remote
Legal | Reports to the Director, Legal (Channels, Alliances & Marketplaces)
About Our Team
The Rubrik Commercial Legal Team manages Rubrik's global commercial contracts and the revenue, partner, and product transactions behind them. This role sits on the Channels, Alliances & Marketplaces legal team and is Rubrik's dedicated product legal counsel for everything we bring into the Rubrik product: the third-party technology, AI models, cloud services, and data feeds we license, embed, and resell as part of Rubrik Security Cloud.
You will be the primary legal partner to Rubrik's Product Teams, Engineering, and Cloud Marketplace leaders, and you will own Rubrik's legal relationships with its strategic technology alliances, including the major cloud service providers and leading AI model providers. We are looking for an attorney who does this work today at a SaaS company, who can sit in a room with engineers and product managers and follow the architecture conversation, and who can then negotiate the resulting agreement against a well-resourced counterparty. For those located in SF Bay Area, this would be a hybrid role.
Where You Can Make an Impact
- Own inbound product licensing: Structure, draft, and negotiate the agreements through which Rubrik licenses, embeds, integrates, or resells third-party technology inside its own products, including OEM and embedded-software agreements, API and platform access agreements, inbound technology and data licenses, AI model and foundation-model access agreements, SDK and developer terms, and the order forms, addenda, and amendments underneath them.
- Be the legal owner for Product and Engineering: Serve as day-to-day counsel to the Product Teams and Engineering leadership. Spot licensing, IP, data, security, commercial flow downs, and compliance issues before they become blockers; and translate them into concise, actionable guidance.
- Own the cloud service provider alliances: Lead legal workstreams with Rubrik's three strategic hyperscale cloud partners across the full relationship, including technology and co-sell partnership agreements, marketplace and private-offer programs, resale and distribution authorizations on marketplace platforms, consumption commitments, joint go-to-market terms, and program-specific addenda.
- Own the AI partnerships: Lead legal for Rubrik's relationships with AI model providers and AI platform partners, including enterprise and API agreements, zero-data-retention and model-access terms, usage and acceptable-use restrictions, security and trusted-access programs, and marketplace listings. Work with Engineering to translate contractual restrictions into technical guardrails, and map upstream model-provider terms (data protection, retention, indemnity, security) to the commitments Rubrik makes to its own customers.
- Lead strategic alliances: Structure and negotiate joint development, co-innovation, technology integration, joint marketing, and joint announcement arrangements with technology partners, including partners that may also compete with Rubrik in adjacent markets. Advise on IP ownership and licensing of jointly developed work, exclusivity, publicity, and competition-law guardrails for information sharing between competitors.
- Support Cloud Marketplaces: Partner with the Cloud Marketplace team on listing terms, private offers, channel-partner marketplace programs (reseller and distributor authorizations), non-standard purchase requests, and the interaction between marketplace rules, tax, revenue recognition, and Rubrik's channel policies.
- Issue-spot across the product: Identify and mitigate legal risk in product initiatives and integrations, including intellectual property, open-source and third-party component licensing, data privacy and security, export controls, AI governance and transparency, regulatory compliance, and indemnification. Partner with Privacy, Security, Product Counsel, Finance, Tax, and Procurement to land a consistent position.
- Translate downstream: Work with Commercial Legal and Product Counsel to ensure that what Rubrik licenses inbound is accurately reflected in Rubrik's customer-facing terms, documentation, and AI transparency materials, so Rubrik never promises customers more than its upstream providers promise Rubrik.
- Manage the agreement lifecycle: Own alliance and inbound agreements from structuring through execution, renewal, amendment, compliance, audit response, and termination. Maintain an organized repository of executed agreements and the obligations they create, and lead inbound license compliance and vendor audit responses when they arise.
- Build the playbook: Develop and refine Rubrik's templates, negotiation playbooks, approval matrices, and internal training for inbound licensing, OEM, and alliance agreements, so Product, Engineering, and Alliances teams know what is standard, what requires Legal, and why.
- Stay current: Monitor legal and regulatory developments affecting AI, cloud services, technology licensing, and strategic partnerships, and proactively advise the business on their impact.
- Flex when needed: Provide overflow support to the broader Channels & Alliances legal team on partner and alliance matters as business priorities require.
Ideal Background
- JD and active bar membership, with 6+ years of technology transactions experience, including at least 3 years in-house at a SaaS or cloud software company. Product legal, inbound licensing, or technology partnerships experience is required.
- You do this work today, at a senior level, at a SaaS company: you own the agreements for third-party technology embedded in or sold as part of your company's product, and you are the lawyer Product and Engineering call first.
- You have negotiated directly with or against the legal teams of the major hyperscale cloud service providers and understand their standard paper, their partner and marketplace programs, and where they will and will not move.
- You have negotiated AI model or AI platform agreements, or are deeply familiar with the issues they raise: data use and retention, model access controls, acceptable-use restrictions, output ownership, indemnity scope, and security and compliance programs.
- You can hold your own with a well-resourced counterparty that has more leverage than you do. You know which points matter, you prepare for them, and you close.
- You are comfortable in the technical weeds. You can follow an architecture discussion, understand how a third-party component is deployed, called, or redistributed, and spot the licensing and IP consequences without a translator.
- Deep understanding of intellectual property law as it applies to software licensing, APIs, data, and jointly developed technology, including open-source licensing.
- Working knowledge of data privacy and security requirements (for example GDPR, CCPA, and sector-specific regimes) as they apply to data flowing between Rubrik, its providers, and its customers.
- Working awareness of antitrust and competition law as it applies to partnerships between competitors, exclusivity, and information sharing. Experience with channel and distribution structures is a plus.
- Clear, concise writer and communicator who gives business teams a recommendation, not a memo.
- Independent, proactive, and business-oriented, with excellent judgment and the ability to prioritize across a high volume of work in a fast-moving environment.
