Job Description:

DePuy Synthes is currently recruiting for a Senior Director, Acquisitions & Divestitures (A&D) Finance to ideally be located in Raynham, MA.

The Corporate A&D Finance team is seeking a seasoned, strategic, and influential Senior Director to serve as the enterprise finance thought partner on portfolio shaping and capital deployment decisions across our sectors (Pharmaceuticals and Medical Technologies). This leader will set the financial point of view behind DePuy Synthes’s acquisitions, partnerships, and divestitures, determining how each transaction fits the enterprise strategy, creates sustainable long-term value, and aligns with capital allocation priorities. The Senior Director will partner with corporate and sector executives, Business Development, the A&D Community of Practice, and external advisors to establish valuation frameworks, challenge key assumptions, and deliver clear, decision-ready recommendations to the most senior leaders of the company (GOC, EC/MC, and Board of Directors).

Johnson & Johnson announced plans to separate our Orthopedics business to establish a standalone orthopedics company, operating as DePuy Synthes. The process of the planned separation is anticipated to be completed within 18 to 24 months, subject to legal requirements, including consultation with works councils and other employee representative bodies, as may be required, regulatory approvals and other customary conditions and approvals. Should you accept this position, it is anticipated that, following conclusion of the transaction, you would be an employee of DePuy Synthes and your employment would be governed by DePuy Synthes employment processes, programs, policies, and benefit plans. In that case, details of any planned changes would be provided to you by DePuy Synthes at an appropriate time and subject to any necessary consultation processes.

Responsibilities:

  • Serve as a strategic finance advisor to enterprise and sector leaders on portfolio strategy, helping shape the pipeline of acquisitions, partnerships, and divestitures so that it reflects long-term growth objectives, capital allocation priorities, and the evolving competitive landscape. Provide an independent, objective perspective that balances opportunity with risk.
  • Lead and oversee objective financial and business analyses of new acquisitions, partnering relationships (i.e. options, licenses, equity investments, etc.), and divestitures, ensuring objectivity, transparency, and completeness in strategic assessments, valuations, and due diligence (highlighting both opportunities and risks) as well as transaction closing activities (purchase price allocation, deal financings, etc.). Distill complex analyses into clear insights and recommendations for senior management, the GOC, EC/MC, and the Board of Directors.
  • Provide senior financial leadership across the full deal lifecycle, guiding deal structuring, contract and purchase price negotiations, valuation, due diligence, EC/MC and BOD presentations, Investor Relations support and framing, EPS analyses, and capital structure impacts. Direct the work of deal teams, external advisors, and investment bankers to ensure transactions deliver the intended value.
  • Oversee the review of key legal documents and required regulatory filings in support of specific transactions, partnering with Legal, Tax, and Controllership to structure transactions that protect value and manage risk.
  • Own the vision for, and continuously evolve, the enterprise A&D valuation and decision-making framework. Design, develop, enhance, and implement processes that lead to more accurate valuation assessments, drive value creation, and mitigate risk. This includes driving compliance with EC/MC approved Acquisition and Divestiture processes/standards and ensuring that standardized information is reviewed and output templates are used during investment decision-making meetings (consistency cross-sector, cross deal type).
  • Drive improved acquisition and divestiture outcomes by leading post-transaction reviews that measure results against the original deal thesis, and by translating lessons learned into process improvements and guidance for management and business development partners.
  • Lead special enterprise projects of a financial nature as required, including, but not limited to capital allocation analytics, share repurchase programs, cost of capital, dividend proposals, J&J and affiliate valuations, capital structure, credit ratings, etc.
  • Build and sustain influential relationships with key members of the J&J Finance, Business Development, and A&D Community of Practice teams to foster a culture of objectivity, transparency, and constructive dialogue on financial and valuation matters. Act as a trusted advisor to senior executives and be recognized as a J&J Finance leader and thought partner in the M&A and portfolio management discipline. Demonstrate an open and flexible mindset that inspires creative and innovative solutions while maintaining a value creation discipline. This position works closely with other key M&A oriented groups including the following: Sector BD, A&D Operations, Controllership/GTAAS, Tax, Investor Relations, Legal, HR, third party advisors and investment bankers.
