About this job
Job Description
o Position Summary: The New York and Silicon Valley offices of Pillsbury Winthrop Shaw Pittman LLP have an immediate opening for a senior associate (5th – 7th year) to join its Corporate & Securities group, with a focus on capital markets and public company matters. Pillsbury's Corporate & Securities team advises public and private companies, issuers, underwriters, and investors on a broad range of sophisticated securities offerings, capital-raising transactions, corporate governance, and regulatory compliance matters. The team provides strategic and practical counsel to clients navigating complex transactions, evolving regulatory requirements, and the demands of the public markets. The successful candidate will have the opportunity to take a leading role in managing sophisticated transactions and public company matters, working directly with clients and supervising partners, while mentoring junior associates and contributing to the continued growth of the practice.
o Required Experience and Qualification
Candidates should have substantial experience advising on and independently managing a broad range of capital markets and securities transactions, including initial public offerings (IPOs), deSPAC transactions, reverse takeovers (RTOs), follow-on offerings, at-the-market offerings (ATMs), equity lines of credit (ELOCs), overnight wall-crossed offerings, private investments in public equity (PIPEs), and other public and private securities offerings. Candidates should have deep knowledge of federal securities laws, public company reporting and disclosure obligations, corporate governance, SEC compliance, FINRA rules, and NYSE and Nasdaq listing requirements.
Candidates should have significant experience drafting and managing registration statements, prospectuses, proxy statements, tender offer materials, periodic and current reports, beneficial ownership filings, and Section 16 filings. Candidates must demonstrate the ability to independently manage complex transactions from inception through closing, exercise sound legal and business judgment, identify and resolve substantive issues, and deliver high-quality work product with limited partner oversight. Experience supervising and mentoring junior associates, managing deal teams and workflow, and communicating effectively with clients, underwriters, placement agents, opposing counsel, auditors, and other transaction participants is essential.
Candidates should have a high level of academic achievement from a nationally recognized law school and exceptional oral, written, and interpersonal skills, with strong attention to detail. Candidates should be ambitious, highly motivated, and possess a strong work ethic, leadership skills, commercial awareness, and an interest in taking on increased levels of responsibility. The ability to manage competing priorities, anticipate client needs, provide practical and strategic advice, and thrive in a team-oriented, fast-paced environment is required.
o Desired Qualifications
Ideal candidates will have experience at an AmLaw 100 firm or a similarly sophisticated capital markets practice, with a demonstrated ability to serve as a primary point of contact for clients and independently lead complex securities transactions and public company matters. Experience contributing to business development initiatives, thought leadership, and the development of practice resources, precedents, and knowledge management materials is preferred. Qualified applicants with arrest and conviction records will be considered for the position in accordance with applicable fair chance laws.
o Ideal candidate should have substantial experience in:
